Pet Services Review Promotional Package Agreement
Pet Services Review agrees to display a Participating Company's basic listing information
as outlined in the Definitions portion of this agreement, when a General Listing
is purchased for the term of one year. Pet Services Review agrees to display a Participating
Company’s coupon and a web site link to the Participating Company’s web site for
the term of one year, when an Advanced Listing is purchased on Pet Services Review.
Pet Services Review agrees to display the aforementioned facets of the Advanced
Listing, in addition to the function of consumer review postings for the term of
one year when participating companies purchase a Premium Listing on Pet Services
Review. Prices for all promotional packages have been predetermined and established
on the Pet Services Review Promotional Package registration page, and are understood
and accepted by the Participating Company; all sales are final. There are no refunds
and downgrading of packages is not permitted. The Participating Company may upgrade
a package at any time by contacting the administrator by phone or email; upgrades
will be prorated.
The Participating Company agrees to supply the graphics and/or text for a Participating
Company’s coupon and/or web site information as to the web site link’s destination.
The Participating Company agrees to hold harmless Pet Services Review for content
of their Promotional Package.
The Participating Company understands that all consumer reviews will be posted,
regardless of the reflection of the Participating Company, with the exception that
in the event of a questionable review of particularly detrimental nature, Pet Services
Review will require proof of the stated allegation from reviewer; Pet Services Review
will reserve the right to accept or reject any questionable review at its own discretion.
DEFINITIONS:
"Free Listing" is a listing on Pet Services Review only consisting of a company's
business name, industry and the specific area of Chicagoland where it can be
found.
"General Listing" is a listing on Pet Services Review which consists of the following
business information: business name, address, industry, contact person, phone number,
business hours, web site address and email address.
"Participating Company" is a business that purchases either an Advanced Listing
or a Premium Listing on Pet Services Review for a predetermined price, for the term
of one year.
"Promotional Package" is either an Advanced Listing or a Premium Listing on Pet
Services Review which is purchased for a predetermined price, for the term of one
year.
"Advanced Listing" is a listing on Pet Services Review that consists of the Participating
Company’s coupon and a web site link to the Participating Company’s web site in
addition to information found in a General Listing.
"Premium Listing" is a listing on Pet Services Review that consists of the facets
of an Advanced Listing with the addition of a consumer review function.
"Pet Services Review" is synonymous with the company web site, Petservicesreview.com.
RIGHT TO REFUSE UNACCEPTABLE PROMOTIONAL PACKAGE CONTENT:
Pet Services Review reserves the right to refuse any Promotional Package content
that does not completely conform to every detail, instruction, method, and guideline
set in the Technical Specifications and other information provided which can be
found on the Pet Services Review Web Site. Pet Services Review does not accept content
from companies that produce or provide tobacco, alcohol, or pornographic products
or services (which Pet Services Review shall have complete discretion to define),
or their subsidiaries, or foundations funded by such companies whose function is
to improve acceptance of such products by the public. This Agreement is voidable
by Pet Services Review immediately if Participating Company fails to disclose (or
conceals or misrepresents) any involvement with tobacco, alcohol, or pornographic
products or services. In addition, Pet Services Review may in its complete discretion
refuse the use of any other content that it deems appropriate.
USAGE STATISTICS:
PET SERVICES REVIEW MAKES NO GUARANTEE TO ANY PUBLISHED NUMBERS AT ANY GIVEN TIME.
PET SERVICES REVIEW SHALL NOT BE HELD LIABLE FOR ANY CLAIMS AS THEY RELATE TO SAID
USAGE STATISTICS. PET SERVICES REVIEW IS NOT REQUIRED TO PROVIDE PARTICIPATING COMPANIES
WITH USAGE STATISTICS.
TRUTH IN ADVERTISING / INDEMNIFICATION FOR LIABILITY:
Participating Company is solely responsible for any legal liability arising out
of or relating to (1) the
Promotional Package content, and/or (2) any material to which users can link through
to the Participating Company’s web site. Participating Company represents and warrants
that the coupon and link comply with Pet Services Review's agreement standards;
and that it holds the necessary rights to permit the use of the coupon and link
by Pet Services Review for the purpose of this Agreement; and that the use, reproduction,
distribution, or transmission of the Promotional Package will not violate any criminal
laws or any rights of any third parties, including, but not limited to, such violations
as infringement or misappropriation of any copyright, patent, trademark, trade secret,
music, image, or other proprietary or property right, false advertising, unfair
competition, defamation, invasion of privacy or rights of celebrity, violation of
any antidiscrimination law or regulation, or any other right of any person or entity.
Participating Company agrees to indemnify Pet Services Review and to hold Pet Services
Review harmless from any and all liability, loss, damages, claims, or causes of
action, including reasonable legal fees and expenses that may be incurred by Pet
Services Review, arising out of or related to Participating Company’s breach of
any of the foregoing representations and warranties
LIMITATION ON DAMAGES:
IN NO EVENT WILL PET SERVICES REVIEW BE LIABLE TO SPONSOR FOR ANY SPECIAL, INCIDENTAL,
OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE),
OR OTHERWISE, AND WHETHER OR NOT PET SERVICES REVIEW HAS BEEN ADVISED OF THE POSSIBILITY
OF SUCH DAMAGE.
ASSIGNMENT:
Participating Company may not assign this agreement, in whole or in part, without
Pet Services Review's written consent. Any attempt to assign this Agreement without
such consent will be null and void.
GOVERNING LAW:
This Agreement will be governed by and construed in accordance with the laws of
the State of Illinois.
ENTIRE AGREEMENT:
This Agreement and any and all exhibits and attachments are the complete and exclusive
agreement between the parties with respect to the subject matter hereof, superseding
and replacing any and all prior agreements, communications, and understandings (both
written and oral) regarding this subject matter. This Agreement may only be modified,
or any rights under it waived, by a written document executed by both parties.
The Participating Company shall agree to these Terms and Conditions by checking
the following box and signing with the Participating Company’s name and the company
representative’s name. Payment will be accepted by either online credit card charge
or business check. Promotional Packages will become active and become valid for
the term of one year after the following criteria have been met: 1. all graphics
and/or text have been received and deemed acceptable, and 2. payment to Pet Services
Review has been received, a copy of this Agreement has been signed and included
with payment, and all funds have cleared.
